Avanos Medical, the maker of pain-management, respiratory and feeding-tube devices used in hospitals nationwide, held today's shareholder vote on going private in a $1.27 billion buyout, a 72% premium to its pre-deal stock price.
American Industrial Partners is paying $25.00 a share, a 72% premium, with the deal expected to close by July 27. Avanos already cleared antitrust review on July 2, its last hurdle before delisting from the NYSE.

Sabra Health Care REIT, the landlord for nursing homes and senior housing leased to outside operators, is replacing Avamere across 26 skilled nursing facilities after its founder said he wanted out.
Sabra will collect $53 million in annualized rent from the new operators, up 30% from the $41 million Avamere paid, once Cascadia Healthcare and another tenant take over the properties this fall.
